Voca — Terms of Use

These Terms of Use ("Terms") are a binding agreement between you and Ivan Bannikov, Individual Entrepreneur (ინდივიდუალური მეწარმე) registered in Georgia, identification number 304675625, registered address Nino and Ilia Nakashidze Str. N1, Building N3, Apt. 3, Krtsanisi District, Tbilisi, Georgia, email ivandiv13@gmail.com ("Voca", "we", "us").

They govern your use of the Voca iOS application and https://ivandiv13.github.io/voca-legal (together, the "Service").

Please read section 12 (Limitation of Liability) and section 14 (Governing Law and Disputes) carefully. They limit our liability and affect how disputes are resolved.


1. Acceptance

By downloading, installing or using the Service, you agree to these Terms and to our Privacy Policy, which forms part of them. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organisation, you confirm you are authorised to bind that organisation to these Terms.


2. Eligibility

You must be at least 13 years old to use the Service.

If you are under the age of digital consent in your country (13 to 16 across the EEA, 16 in some jurisdictions), you may only use the Service with the consent of a parent or legal guardian, who agrees to be bound by these Terms on your behalf.

You confirm that you are not located in a country subject to a comprehensive embargo administered by Georgia, the European Union, or the United States, and that you are not on any applicable restricted-party list.


3. Your account

To save your progress you create an account using Sign in with Apple, Sign in with Google, or a one-time code sent to your email address. We do not issue or store passwords.

You are responsible for:

One account is for one person. You may not share, sell, transfer or licence your account to anyone else.

You may delete your account at any time in Settings → Delete account. Deletion is immediate and irreversible, and removes your learning data as described in the Privacy Policy. Deleting your account does not cancel an active App Store subscription — see section 5.6.


4. The Service

Voca helps you build English vocabulary and listening comprehension using short video clips, subtitle-based exercises, spaced repetition, and speaking practice.

Free features. The Service includes features available without payment. We may change which features are free.

Paid features. Some features require an active subscription. What is included in a subscription is stated on the purchase screen at the time you buy.

Video content. Videos play through YouTube's embedded player. We select and curate clips; we do not host the videos and we do not control YouTube's availability. Your use of the embedded player is also subject to the YouTube Terms of Service.

Availability. We aim to keep the Service available but do not guarantee uninterrupted operation. We may modify, suspend or discontinue any part of the Service. Where a change materially reduces what a paid subscription provides, we will give you reasonable notice and, where required by law, a pro-rata refund of the unused period.

Microphone. Speaking exercises require microphone and speech-recognition permission. You can decline or withdraw those permissions in iOS Settings; the rest of the Service will continue to work without them.


5. Subscriptions, trials and payment

5.1 How subscriptions are sold

All purchases are made through the Apple App Store and charged to your Apple Account. We never receive or handle your payment details.

5.2 Free trial

Where a free trial is offered, the trial length, the price after the trial and the billing period are shown on the purchase screen before you confirm. If you do not cancel at least 24 hours before the trial ends, the subscription begins automatically and your Apple Account is charged.

Apple's rules generally allow only one introductory offer or free trial per subscription group per Apple Account.

5.3 Auto-renewal

Subscriptions renew automatically for the same period unless cancelled at least 24 hours before the end of the current period. Your Apple Account is charged for renewal within 24 hours before the period ends, at the price then in effect.

5.4 Price changes

We may change subscription prices. Apple will notify you of a price increase and, depending on the change, will either ask for your consent or give you the opportunity to cancel before it takes effect. A price change never applies to a period you have already paid for.

5.5 Cancellation

Cancel at any time in iOS Settings → your name → Subscriptions → Voca. We cannot cancel a subscription on your behalf. Cancellation stops future renewals; you keep access until the end of the period you have already paid for.

5.6 Refunds

Purchases are processed by Apple, so refunds are handled by Apple under its own policy at https://reportaproblem.apple.com. We are not able to issue App Store refunds directly.

Consumers in the EEA and the UK: you have a statutory right to withdraw from a distance contract within 14 days. By starting to use digital content immediately, you may be asked to acknowledge that you lose that right once performance begins. Nothing in these Terms limits statutory consumer rights you have under the law of your country of residence.

5.7 Lapsed subscription

If your subscription ends, your account and your learning data remain intact; paid features simply become unavailable until you resubscribe.

We may suspend or terminate access that breaches this section, and may take further action where a breach causes us loss.


7. Intellectual property

7.1 Ours

The Service — including the app, its interface, design, brand, code, and its compiled learning data (the curated video catalogue, word and sense database, aligned subtitle segments, difficulty levels, generated explanations and translations, and exercise logic) — is owned by us or licensed to us and is protected by copyright, database and trade-secret law.

Compiling that learning data represents a substantial investment in obtaining, verifying and presenting its contents. We assert all rights available to us in it, including database rights where the law of your jurisdiction recognises them.

We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service on Apple-branded devices you own or control, for your own language learning, for as long as you comply with these Terms. No other rights are granted.

7.2 Third-party content

Films, series, cartoons, clips and other audiovisual works accessible through the Service remain the property of their respective rights holders. They are made available through YouTube's embedded player and are provided for personal, non-commercial, educational use in the context of the Service only. You may not download, capture, redistribute or publicly perform them.

If you are a rights holder and believe content in our catalogue infringes your rights, write to ivandiv13@gmail.com with identification of the work, the specific content at issue, your contact details and a statement of your authority. We will review promptly and remove content where appropriate.

7.3 Yours

You keep ownership of anything you create in the Service. You grant us a worldwide, non-exclusive, royalty-free licence to store, process and display that content solely in order to operate the Service for you. This licence ends when you delete the content or your account, except for backups pending routine deletion.

7.4 Feedback

If you send us ideas or suggestions, we may use them without restriction and without owing you compensation.


8. Learning outcomes

Voca is an educational tool. Language learning depends on how much and how consistently you practise, on your starting point, and on factors outside our control.

We make no promise that you will reach any particular level, vocabulary size, exam result or fluency, in any particular time. Estimates the App shows you — such as an estimated vocabulary size or a projected timeline — are statistical approximations based on your answers, not guarantees, and the App says so where it shows them.

Voca is not a substitute for accredited instruction and is not a certified assessment of language proficiency.


9. Content accuracy

We work to keep translations, definitions, subtitle alignment and explanations accurate. Some of this content is generated with the assistance of language models and may contain errors, awkward phrasings or occasional mistakes.

We do not warrant that content is error-free. If you spot a mistake, please report it at ivandiv13@gmail.com — it genuinely helps.


10. Third-party services

The Service depends on services we do not control, including the Apple App Store, Sign in with Apple, Sign in with Google, YouTube, and our infrastructure and subscription providers. Your use of those services is governed by their own terms. We are not responsible for their availability, performance, or acts and omissions.


11. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.

We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or that defects will be corrected.

Nothing in this section excludes or limits any warranty or right that cannot be excluded or limited under the law applicable to you as a consumer.


12. Limitation of liability

To the maximum extent permitted by applicable law:

These limits do not apply to liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or to any other liability that cannot lawfully be limited — including, for consumers in the EEA and the UK, liability under mandatory consumer protection law.


13. Suspension and termination

By you. Stop using the Service at any time, and delete your account in Settings.

By us. We may suspend or terminate your access if you materially breach these Terms, if we are required to by law, or if continuing to provide the Service to you would expose us to legal liability. Where circumstances allow, we will give you notice and an opportunity to fix the problem first.

If we terminate your account without cause while you hold a paid subscription, we will refund the unused portion of the period you paid for.

Sections 7, 8, 9, 11, 12, 14 and 15 survive termination.


14. Governing law and disputes

These Terms are governed by the law of Georgia, without regard to its conflict-of-law rules.

Consumers. If you are a consumer, this choice of law does not deprive you of the protection of mandatory provisions of the law of your country of habitual residence, and you may bring proceedings in the courts of that country.

Everyone else. The courts of Tbilisi, Georgia have exclusive jurisdiction.

Informal resolution first. Before starting formal proceedings, please contact us at ivandiv13@gmail.com. We commit to trying in good faith to resolve the dispute within 30 days.

15. General

Changes to these Terms. We may update these Terms. The current version is always at https://ivandiv13.github.io/voca-legal/terms. If a change materially affects your rights, we will notify you in the App or by email at least 14 days before it takes effect. Continuing to use the Service after that date means you accept the new Terms; if you do not, stop using the Service and, where a paid period is affected, contact us about a pro-rata refund.

Severability. If a provision is found unenforceable, it is modified to the minimum extent necessary or severed, and the rest remains in force.

No waiver. Our failure to enforce a provision is not a waiver of it.

Assignment. You may not assign these Terms. We may assign them to a successor in connection with a merger, acquisition or sale of assets, on notice to you.

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.

Language. These Terms are drafted in English. Any translation is provided for convenience; the English version prevails, except where the law applicable to you as a consumer requires otherwise.


16. Apple-specific terms

This section applies to your use of the Voca iOS app and, in the event of a conflict, takes precedence over the rest of these Terms for the matters it covers.

  1. These Terms are between you and Ivan Bannikov only, not with Apple. Apple is not responsible for the app or its content.
  2. The licence granted in section 7.1 is limited to a non-transferable licence to use the app on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the app may be accessed by other accounts associated with you via Family Sharing or volume purchasing.
  3. Apple has no obligation to furnish any maintenance or support for the app.
  4. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app to you. To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the app.
  5. Apple is not responsible for addressing any claims by you or a third party relating to the app or your possession and use of it, including product liability claims, any claim that the app fails to conform to a legal or regulatory requirement, and claims arising under consumer protection, privacy or similar legislation.
  6. In the event of a third-party claim that the app or your possession and use of it infringes intellectual property rights, Ivan Bannikov — not Apple — is solely responsible for the investigation, defence, settlement and discharge of that claim.
  7. You represent that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
  8. Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
